New Cleaners Terms and Conditions

This Agreement is made the Cleaner,
An Independent contractor, engaged in nude house cleaning
(Hereinafter referred to as the “Contractor”)

– And-

Naked Elite Cleaning

(Hereinafter referred to as the “Agency”)

Agreement for Services

WHEREAS the Agency wishes to engage the Contractor to provide services in the area of partially clothed or fully naked / nude house cleaning (as hereinafter described) to Agencys Clients;
AND WHEREAS the Contractor wishes to provide such services in the area of partially clothed / naked / nude house cleaning to the Agency’s Clients;

NOW THEREFORE the parties hereto agree as follows:
1 Engagement
1.1 The Agency agrees to engage the Contractor to provide services to Agency’s Clients and the Contractor agrees to provide services to the Agency’s Clients upon and subject to the terms and conditions hereinafter set forth.
2 Term
2.1 The term of the Contractor’s engagement shall commence on a date this agreement is accepted and renewable annually. Either party may terminate this Agreement by providing the other party written notification at least 28 days, provided that the Agency may terminate the agreement at any time and without notice for material breach.
3 Duties and Responsibilities
3.1 Contractor agrees to perform work for the Agency on the terms and conditions set forth in this agreement and agrees to devote all necessary time and attention (reasonable periods of illness accepted) to the performance of the duties specified in this agreement.
3.2 The contractor may be required to carry the following light cleaning duties: Folding Clothes, Organising, Dusting, general tidying, vacuuming, watering plants, making beds, washing/drying up, using washing machines, ironing, polishing, cleaning windows and sweeping floors
3.3 The Contractor shall not perform any of these services: unblocking drains, cleaning ovens, emptying bins, cleaning of any areas that pose any kind of risk to health and safety, services that require the use of strong chemicals, end of tenancy cleaning services, excessive lifting of heavy items and any other heavy or risky tasks that may be considered so by the Provider at Provider’s sole discretion.
3.4 It is the responsibility of the Client to issue the Contractor with cleaning material and equipment. The Contractor reserves the right to decline the use of any material or equipment that is unsafe or poses an immediate danger to the Contractor and shall immediately inform the Agency’s head office of such decision.
3.5 The Contractor shall immediately decline and notify the Agency if required by the Client to perform any of the above restricted services.
3.6 The Contractor shall: Perform all her duties and responsibilities in a professional workmanlike and competent manner; Complete substantially all the work within the day of allocation and during the contracted for hours.
4 Contractor’s Conduct
4.1 The Contractor acknowledges that he or she is providing naturist cleaning services and therefore agrees that she must be clothed or naked, nude at all times (according to the booking agreement) during the provision of the services. Slippers, gloves and any other protective gear may be worn.
4.2 Contractor acknowledges that the Client may either be nude or clothed during the provision of the services at Client’s own discretion.
4.3 Unless otherwise agreed and specifically notified by the Agency, the Contractor shall not offer cleaning service on premises that have more than one person present.
4.4 Contractor hereby acknowledges that it shall be a breach of this contract to initiate any physical or sexual conduct with the Client whether the Client has consented to it or not.
4.5 Similarly, it shall be a criminal offense for a client to have any physical or sexual conduct with the Contractor and he has signed all the necessary documentation to acknowledge this is a contract for the provision of nude cleaning services exclusively. In case of such an occurrence, the Contractor shall leave the premises immediately and notify the Agency.
4.6 Contractor is additionally under an obligation to leave the Client’s premises immediately if the Client is under the influence of alcohol and/or drugs or begins partaking of the same in the presence of the Contractor. The Contractor shall not accept an offer for drugs and/or alcohol and it is a breach of this agreement for the Contractor, as part of the services, to serve any of the prohibited substances to the Client.
4.7 The Contractor shall not pose for, or allow photography by the Client during the services. The Contractor shall leave the premises immediately and inform the Agency if Contractor suspects such behaviour.
5 Contractor’s Safety
5.1 Notwithstanding any of the provisions of this Clause 5, the Contractor acknowledges that the Agency has taken all reasonable steps within its means and entered into relevant agreements to ensure the integrity of the Clients and therefore shall not be responsible for safeguarding the Contractor whilst working at the Client’s Premises. The Contractor shall remain vigilant and decline to work in any premises that they deem or have any reason to suspect to be unsafe. That notwithstanding;
5.1.1 For safety reasons, the Contractor must call to head office upon arrival at Client Premises, and when the Contractor finishes the cleaning at client’s home or office.
5.2 In case of drug and alcohol use or aggressive or hostile behaviour, the Contractor shall leave immediately and decline to provide cleaning service to the client any more.
5.3 The Contractor shall not share any personal contact details, like phone number, address or full name.
5.4 All communication between the Client and Contractor relating to the Services should go through the Agency and not directly with Contractor.
6 Timekeeping
6.1 Contractor acknowledges that Time is of the Essence in the performance of all work and non-adherence to allocated time may be a basis for termination of contractor’s services or non-payment for services assigned.
7 Confidentiality
7.1 The Agency guarantees to keep the Contractor’s Confidential Information confidential and not to disclose it to anyone other than law enforcement agency when required to.
7.2 The Contractor guarantees to keep the Client’s Confidential Information confidential and shall not disclose it to anyone other than law enforcement agency when required to.
8 Agency Covenant
8.1 The Agency covenants and agrees that the Agency shall pay the Contractor in lawful money for the services aforesaid, Fifty Great Britain Pounds (£50) per hour.
8.2 The Contractor shall be paid upon the conclusion of any services contracted for in the aggregate of total hours worked. For the avoidance of doubt, the Cleaner is an independent contractor and shall be liable for declaring and paying their own taxes.
9 Representations and Warranties
9.1 No representations or warranties have been made by the Agency to the Cleaner, other than those expressly stated in this agreement.
10 Liability
10.1 The Agency shall not be liable for any loss or damage sustained by the Client to his property in the area where the Contractor is performing her work or handling her materials, where that loss or damage is due to Contractor’s own negligence.
10.2 For the avoidance of doubt, the Agency shall not be providing the Contractor with a work place. The Contractor hereby acknowledges that Contractor’s safety and wellbeing should be and shall at all material times be guaranteed by the Client in whose premises the Contractor is providing the services. The Contractor should inform the Agency immediately a premise becomes hazardous to work in and the Agency shall upon such notification immediately cancel the cleaning contract with the Client.
10.3 The Contractor is not obliged to provide cleaning services in any premises the Contractor regards unfit or unsafe for occupation, provided the Contractor shall notify the Agency of such conditions before refusal to work.
11 Independent Contractor
11.1 In the performance of the work, duties, and obligations in any way connected with this Agreement, it is acknowledged and agreed by the parties that the Contractor shall be and at all times is acting and performing as an independent contractor and shall have full control over her provision of services to the Client hereunder, the manner in which her services shall be carried out provided the Contractor does not breach any of the terms contained in this agreement.
11.2 Further, Contractor is not an agent, partner, joint venturer nor employee of Agency. Contractor shall have no authority to bind or otherwise obligate Agency in any manner nor shall Contractor represent to anyone that it has a right to do so. Contractor further agrees that in the event that the Agency suffers any loss or damage as a result of a violation of this provision Contractor shall indemnify and hold harmless the Agency from any such loss or damage.
12 Entire Agreement
12.1 This Agreement contains the entire understanding and agreement between the parties, and may not be amended or modified in any respect, except by a subsequent agreement.
13 Waiver
13.1 No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver.
14 Governing Law
14.1 Any disputes concerning the breach or interpretation of any provisions of this agreement shall be governed by the laws of England and Wales. English courts shall have exclusive jurisdiction over all disputes arising
15 Additional Acknowledgements
15.1 Both parties acknowledge and agree that:
15.2 The parties are executing this Agreement voluntarily and without any duress or undue influence;
15.3 The parties have carefully read this Agreement and have asked any questions needed to understand the terms, consequences, and binding effect of this Agreement and fully understand them; and

DECLARATION: THE CLEANER DECLARES HAVING READ AND UNDERSTOOD THE TERMS OF THIS POLICY AND ACCEPTS TO BE LEGALLY BOUND BY IT
